Corporate boards have never been under greater pressure. They face hostility from every quarter: society, investors, and regulators. A Harvard study found that 51 percent of 18-29 year olds do not support market capitalism; in 2018, the Founder-CEO of Blackrock, the world's largest investor, warned CEOs of public companies that they "must not only deliver financial performance but also show how it makes a positive contribution to society;" On the 2020 campaign trail, U.S. Senators Bernie Sanders and Elizabeth Warren applauded such talk but warned that they expected action.HOW BOARDS WORK is, at its core, about the need for corporate boards to fundamentally change. Not least of which is the need for the boards and the corporations that they lead to adapt to the rapid changes in business, geopolitics, technology and societal norms currently afoot. Most people, including business executives and employees, even shareholders and many legislators, understand little about what boards actually do. HOW BOARDS WORK will fill that vacuum by bringing readers into boardrooms for an insider's view of the tensions and shortcomings of boards, the conflicting priorities and trade-offs they face, and why some fail and others succeed.

21st Century Corporate Board Over the last decade, dramatic changes in how corporations are led have radically transformed the board and its role in business. No longer a safe haven for the walnut-paneled aristocracy, today’s board is an autonomous power center for corporate leadership. How did this happen, and why? More importantly, how will tomorrow’s boards consolidate their newfound strength to tackle fresh challenges in the years ahead? 21st Century Corporate Board addresses these critical questions and more, offering both a masterful analysis of the forces driving corporate governance and a bold new blueprint of the structures, tools, and knowledge demanded for the effective boards of the future. You’ll find detailed coverage of all of the key issues in board makeup, pay, and training—from strategic board recruitment and "pay for performance" to director certification and high-tech board meetings. The book also helps you make sense of the revolution in board operations and organization, including cooperation with management, liability and compliance concerns, and the structure and use of special committees. In the modern corporate board, directors must think like owners, act like managers, and retain their independence. With its hard-hitting, market-based approach and razor-sharp insights, this book vividly illustrates the contradictions of allegiance and focus demanded by the new corporate dynamic—giving you a crucial jump on the action agenda of the 21st Century Corporate Board.

Boards That Dare offers actionable solutions to help board directors, chairs and CEOs move away from outmoded thinking and practices. THE CHALLENGE Corporate boards as fiduciaries are responsible for delivering maximum value and the highest standards of care. The persistent misconception that boards should be driven primarily by shareholder value will soon be an outdated one, and boards that continue to apply narrow interpretations of value and care are unlikely to survive. THE OPPORTUNITY This book reveals a future-proofing opportunity for courageous boards to redefine value and care for employees, consumers, communities, society, the environment, and shareholders. There is no point in trying to reframe value and care for a wider range of audiences if boards don't have the right capabilities and attitudes themselves. THE SOLUTION Boards that Dare invites boards to challenge shortcomings in their own ability, understanding and courage. The book shows how boards embracing this new kind of broadened fiduciary dynamism will become future-proof and realize sustained shareholder value as an output. THE RESEARCH Based on the authors' first-hand experiences, as well as their own research and interviews with board members and chairs of international private, public and not-for-profit organizations, this highly practical and cutting-edge book delivers the necessary solutions on how to future-proof today's boards.

Both the practitioner and academic communities have voiced strong opinions regarding the progress of women in reaching the executive suite and the corporate boardroom. Proponents on each side of the current debate offer evidence suggesting the accuracy of their respective positions. One view holds: "The fight is over. The battle is won. Women are now accepted as outside directors in the preponderance of corporate boardrooms" (Lear, 1994: 10). An alternative perspective, however, suggests there is much progress left. An illustration of the type of remaining barriers is provided by T. J. Rodgers, chief executive officer (CEO) of Cypress Semiconductor Corp. , who has commented that "a 'woman's view' on how to run our semiconductor company does not help us" (Rodgers, 1996: 14). Regardless of where one falls along the spectrum anchored at one end by the view that women have made substantial progress in reaching the upper echelons of corporations and anchored at the other end by the view that women have barely begun to penetrate the "inner sanctum" of corporations, the central issue is the extent to which women have succeeded in cracking the proverbial "glass ceiling. " The glass ceiling is a metaphorical barrier which prevents women from attaining the upper-most organizational positions (e. g. , Karr, 1991; Morrison, White, Van Velsor, and the Center for Creative Leadership, 1992; Powell & Butterfield, 1994; U. S. Department of Labor, 1991).

Written for practitioners, this book addresses corporate governance and the role of the board of directors in multinational corporations. Throughout the world, corporations are experiencing the second major transition in corporate governance of this century. The nature of the relationship between the corporation and the rest of society is changing fundamentally. The corporate board has unique responsibilities during this transition, but as it tries to respond directors are faced with destabilizing paradoxes: resolving who is in control--management or the board, achieving critical judgment while maintaining detachment, and avoiding becoming either a cozy club or a collection of all-stars. This book, based on interviews with 71 directors serving on more than 500 boards in eight countries, shows the nature of the challenges and suggests ways to analyze and confront them. This major international study compares the experiences of board members in Canada, Finland, France, Germany, Great Britain, the Netherlands, Switzerland, and Venezuela.
