Governments that privatize state industries often retain control over key distribution assets. While there are many examples of this form of partial privatization, to our knowledge there are no substantial quantitative studies of how governments use their control under these circumstances. In this paper we argue that the Russian government privatization of the oil sector during 1994-2003 is a useful case study because the federal government privatized oil production but retained monopoly control rights over the transport of crude onto world markets. Based on a simple analysis of the costs and benefits of control and ownership, we argue that that in these circumstances the federal government would use its control over transport capacity to provide privileged access to those companies over which it has influence. We find that in 2003 this is indeed the case and that this system detracted from economic efficiency. In particular, private and regionally owned companies had to be much more productive than companies over which the federal government (the state) had influence to receive comparable access to world markets; state-influence companies had preferential access to routes with more capacity; and, the allocation of route capacity was sensitive to transport costs only in the state-influence sector.

In this volume the leading scholars and practitioners in the field provide a comprehensive, in-depth examination of trends in privatization throughout the world. Focusing primarily on the experiences of seventeen countries--including developing countries, advanced industrial nations, and socialist states--the book explores theoretical approaches toward the issues inherent in privatization and deregulation, specifies techniques for successful privatization, and examines the cost-benefits and limits of privatization policies. The contributors then present a series of twenty detailed case studies which assess the actual problems and prospects associated with privatization and deregulation policy choices across varied sociopolitical systems and a range of economic sectors. The result is the most extensive comparative public policy analysis yet published on the subject of privatization and deregulation. Following an introductory overview which addresses the interaction between privatization, deregulation and market liberalization within both developed and developing country policy environments, the contributors discuss the philosophical bases of privatization policies, examine the seminal experiences of Britain and the United States, and identify factors responsible for successful privatization efforts. This is followed by case studies of privatization in such sectors as finance, transportation, health care, housing, and telecommunications around the world. After special sectoral studies of developing country finance, debt-equity conversions, and international air transport, the authors successively survey the experience of privatization in selected Latin American, Caribbean, West African and Asian developing nations; in the advanced industrial nations of Canada, France, New Zealand, and Sweden; and in the socialist countries of China, Hungary, and Poland. In their conclusion, the editors discuss the immediate implications of the contributors' findings and suggest research directions for the future. Numerous explanatory tables and figures are included, making this an ideal supplemental text for courses in business, government, and public policy.

Since its accession to the World Trade Organization (WTO), China has undertaken stronger initiatives toward adapting its legal system to support the development of a market-oriented economy. However, in this important new study the author contends that Chinaand’s steps in this direction are not sufficient. Although barriers to merger and acquisition (Mand&A) targeting of state-owned enterprises (SOEs) have been significantly reduced, excessive administrative intervention continues to discourage foreign Mand&Ainvolving domestic listed companies. This book proposes changes in Chinese law, including a new full-scale regulatory scheme, which would enhance and expand such foreign direct investment. The discussion proceeds from the perspectives of company law, securities law, antimonopoly law, and foreign investment law. Based on the analysis of the market situation and policy background in China, and on a comparison among the relevant aspects of the legal systems of China and other jurisdictions, the book addresses the Chinese legal system for foreign Mandamp;A involving listed companies, including its policy support. The analysis highlights such aspects as the following: and• features and structures of the current Chinese foreign Mandamp;A market; and• China's state-owned enterprise reform and• functions of the Chinese stock market; and• Chinese foreign investment policy; and• components of the Chinese legal system specific to foreign Mand&A; and and• comparative studies of foreign Mandamp;A regulation and experience (US, EU, UK, and Russia) and what may be useful in each for China. The authorand’s detailed recommendations for the improvement of the Chinese legal system primarily concern the regime of state ownership exercise, the establishment of an antitrust scheme, the improvement in the regulation of corporate takeovers, and national treatment of foreign investors under the WTO system. This is in every way a ground-breaking contribution to the literature of international trade law. The authorand’s deeply informed and cogent analysis will be of immeasurable value to policy makers and academics across a range of fields, and the bookand’s practical value to business persons everywhere with an eye on China cannot be overestimated.
