This book deals with a much understudied and poorly understood aspect of business: the role of owners and boards in value creation. While there is abundant guidance on value creation for publicly listed firms and their managers, the role played by owners, and their corporate directors, in value creation and governance has been overlooked. This book aims to fill that gap. • The first part deals with the mission, and the values and rules pertaining to the governance of the business. These structural elements are fundamental for owners to get right as they pave the way to value creation, or its opposite. They refer to “WHAT” owners have to do. Another element is the formation of the three boards that govern owner-led firms: the owners board, the board of directors, and the management board. • The second part addresses the relational elements that owners must master to effectively manage the social and emotional dynamics in their enterprise. Corporate governance and corporate reporting are closely linked to each other, and their respective evolutionary patterns are mutually influencing. Along with the recent expansion of company disclosure, a growing attention is being paid to corporate governance determinants and mechanisms underpinning the decision to voluntarily adopt non-financial disclosure formats, such as integrated reporting. At institutional level, several national corporate governance codes have been changed towards the recognition and inclusion of this innovative, non-financial language. In academic research, the influence of corporate governance variables vis-à-vis the choice to embrace such reporting practices has been subject to a long scrutiny. However, only a little inquiry has so far analysed the influence of corporate governance factors on integrated reporting adoption, quality, and credibility. Accordingly, the aim of the book is to investigate if, and to what extent, corporate board composition and characteristics can affect, at the same time, the decision to voluntarily adopt integrated reporting by companies as well as their financial performance. The study carries out an empirical analysis of the professional features of board members at the time of their decision to implement integrated reporting as a new form of company accountability. The work provides innovative insights into the articulated relationships between the quantitative and qualitative composition of corporate boards and the latter’s choice to uptake this advanced form of reporting to represent the wider value creation processes of their organisations.

It’s a matter of fact, that in stock company the management leads the business and not the shareholders itself. In Germany, we have a Management Board (MB) and a Supervisory Board (SB). The SB should monitor the MB, to anticipate that the MB doesn’t act in the interest of the shareholders and creditors. For Example, in the form of inadequate salary payment, inadequate redundancy payments and nepotism. In the unitary-board system of the UK aren’t exist a SB, but there are so- called Executive directors which operates beside the Non-executive directors. The Executive directors have the same function like the SB in the German stock company. The dual board system is prescribed by law for German stock corporations. The Management Board (MB) is appropriate for managing the enterprise. Its members are jointly accountable for the management of the concern. The Chairman of the MB coordinates the work of the MB. The Supervisory Board (SB) appoints, supervises and advises the member of the MB and is directly involved in decisions of fundamental importance to the company. The Members of the SB are chosen by the shareholders at the General Meeting. In enterprises having more than 500 or 2000 employees in Germany, employees are also represented in the SB. In practice, the dual-board system is also established in other continental European countries. The unitary-board system, which exists in the UK, has only one organ, the board... Where is the COMI? One of the performances of cross-border insolvency is that debtors may seek to open proceedings in a state having insolvency legislation more favourable to their particular circumstances. This is labelled as “forum shopping”. The Regulation attempts to stop forum shopping by requiring that the main proceeding be opened in the member state where the debtor’s “centre of main interests” (COMI) is situated. According to Art. 3 EU Insolvency Regulation, the international Courts of the particular Member state are responsible for the opening of an insolvency proceeding, where the debtor’s centre of main interest is. The European Court of Justice (ECJ) assumes that this is basically there, where „the debtor’s registered office “is. It’s where the administration of its interests "on a regular basis“is and it must be „therefore ascertainable by third parties."
